Terms & Conditions:
These Terms and Conditions govern the sale of all products and services (“product”) by AWA Electronics and apply notwithstanding any conflicting, contrary or additional Terms and Conditions in any Buyer generated documents or communication from Buyer. These Terms and Conditions may only be waived or modified in a written agreement signed by an authorized representative of AWA Electronics. Neither AWA Electronics acknowledgment of a purchase order, commencement of performance and or delivery shall be deemed or constituted as acceptance of Buyer’s additional or different Terms and Conditions.
- Product purchase.
All product purchases shall be initiated by Buyer issuing a Purchase order, which can be accepted by e-mail, mail or through online ordering system. All orders are subject to acceptance by AWA Electronics. We do not accept verbal orders. Orders shall contain such information as: unit quantities, part numbers, descriptions, applicable prices and requested delivery dates and must specify prior shipping if any restrictions for brand, packaging or date codes. No orders may be cancelled or rescheduled without AWA Electronics consent, which may be given by AWA Electronics in its sole discretion.. Products identified by AWA Electronics verbally, online or in written as “NCNR” or “Non-Cancelable and Non-Returnable” shall be non-cancelable and non-returnable. Please note thatprices are subject to change without prior notice?and sales may be limited by stock availability.

For shipping in China minimum order is ?RMB 200 for product in stock, for international orders minimum order RMB 200.
For available product (not in stock) minimum order shall be as specified in quote.
- Payment terms.
For domestic orders COD ( collect on delivery), for international orders wire transfer or cashier check in RMB?funds only. Credit card payments can be processed through Paypal only (small handling fees applies for Paypal transactions over $100). We do not accept personal or company checks, letter of credit for international orders, domestic order personal checks may be a subject of fund verification, which may delay shipment. NET terms offered for approved buyers only matching certain criteria (it is on AWA?Electronics sole discretion to determine if Buyer meets such criteria). Orders are subject to credit approval by AWA?Electronics, which may in its sole discretion at any time change the terms of Buyer’s credit.
If Buyer failed to pay any invoice when due, AWA?Electronics may suspend delivery of any order or any remaining balance thereof until such payment is made and Buyer shall remain liable to pay for any Products already shipped. If payment is not received within period of time specified by AWA?Electronics, AWA?Electronics has a right to cancel the order or any remaining balance. Buyer agrees to submit financial information necessarily for credit approval/continuation from time to time as may be reasonably requested by AWA Electronics. AWA Electronics has a right to pursue any legal or equitable remedies if Buyer fails to make payment when due, in which event AWA Electronics shall be entitled to reimbursement for costs of reasonable attorneys fees and collection and has a right to collect the interest on any invoice not paid when due from the due date to the date of payment at such lower rate as may be the maximum allowable by law.
Handling fee of? $6-10 will be added? to international orders (AWA Electronics reserve the right to include Buyers wire transfer fees into invoice as well). Wire transfer fees must be paid in addition to the order amount plus shipping charges if shipping on AWA Electronics shipping account number.
- SALES TAX

- Prices shall be as specified by AWA Electronics and shall be applicable for 7 (seven) days for product in stock, unless otherwise specified by AWA Electronics representative verbally or in written. Exempt: products available (not in stock). Price (USD) for available product valid for 3 business days only and requires reconfirmation before placing an order. Notwithstanding the foregoing, prices shall be subject to increase in the event of an increase in AWA Electronicss’ costs or other circumstances beyond AWA Electronicss’ reasonable control. Prices are exclusive of taxes & duties, impositions, shipping, bank fees, broker fees or any other charges, which shall be paid by Buyer to AWA Electronics in addition to the price (USD) of the Products.
AWA Electronics shall not be responsible for typographical or other errors or omissions regarding prices or other information.
- SHIPPING & DELIVERY.
All shipments by AWA Electronics are SZ or HK F.O.B. point of origin and Buyer pays the shipping charges, insurance, taxed and duties in addition to the price (USD) of the Products. AWA Electronics offers shipping via FEDEX Express for domestic orders and International orders. For DHL/UPS shipping account number must be provided and can be used for international shipments only. We do not use UPS for domestic shipping unless otherwise agreed and confirmed by AWA Electronics prior to shipping. In addition, AWA Electronics can offer United States Postal Service for international shipments only (this service does not apply to electronic component orders, only for electronic equipment). Please note that for United States Postal Service shipments are not available the same day – please allow extra time for processing. Buyer acknowledges that delivery dates provided by AWA Electronics are estimates only and that AWA Electronics is not liable for failure to deliver on such dates, however AWA Electronics shall use reasonable efforts to initiate shipment and schedule delivery as close as possible to Buyer’s requested delivery dates.
For component category domestic COD or prepaid shipments are usually made the same day (purchase order must be received before 12 p.m.?Western standard time), for available product (not in stock) C within 1- 3 days after receiving the purchase order unless different lead time specified by AWA Electronics representative. International orders shall be shipped the same or next business day after receiving AWA Electronicss’ bank confirmation of payment (for product in stock), for available product C as specified in quote. If quantity of the actual stock varies from the quantity specified in order, AWA Electronics will notify Buyer of such discrepancies in written or verbally prior shipping, and product will be shipped only after receiving Buyers confirmation.
If item is not available for immediate shipping, orders paid by cashier check, money order shall be shipped as they become available (if such availability exists) but no later than 10 days from the order date. Orders for unavailable items will be canceled and refund or credit will be issued.
For credit card payment processed via Paypal all orders will be shipped to?credit card billing address/Paypal confirmed shipping address only in order to protect our customers. Buyer must notify its credit card company of the alternative shipping address in order for us to ship to such address. AWA Electronics shall verify validity of the address. If billing address cannot be verified, the order will be canceled. To avoid delays with order processing, please provide us with correct credit billing address.
For all new customers shipping account shall be validated with a shipping courier. If account number provided is not valid C shipping charges shall be added to the purchase order and prepaid. No shipment shall be made until full amount of balance due is received. Please note that UPS does not allow shipping on receivers account number registered in China. No shipments shall be made to such accounts. UPS Account number registered in Hong Kong is acceptable.
- SHIPMENT INSURANCE.
AWA Electronics recommends that Buyer procure insurance to cover Buyers risk of loss. Please provide copy of the insurance certificate to accounting@awaele.com. Transit insurance waver can be signed and faxed or emailed to AWA Electronics. AWA Electronics reserves the right to ensure shipment with the shipping courier if no valid insurance certificate received prior to shipping. If insurance certificate supplied with a high deductible, AWA Electronics reserves the right to insure the package with the shipping courier for the amount of the deductible. Delivery shall be deemed completed and risk of product loss or damage will pass to Buyer upon delivery to the carrier. - PRODUCT ACCEPTANCE AND PRODUCT RETURNS.
It is Buyers responsibility to inspect and accept the product. Unless AWA Electronics received written notice of rejection within 7 (seven) days after delivery of the Products, Buyer is deemed to have accepted the Products and waives any right to revoke acceptance thereafter. Any discrepancies such as shipment quantity, part numbers, specified on the purchase order limitations, damage or visual defects must be reported by Buyer within 7 (seven) days after delivery. Return of Products shall be accepted by AWA Electronics only with a Return Material Authorization (“RMA”) issued by AWA Electronics authorized representative. All request for RMA must be submitted by fax or e-mail. For product claimed to be defective a complete description of the defect nature must be included.
Returned Products must be returned in the same condition and packing as shipped to Buyer (including all manuals, cables, software etc), incomplete product returned shall be a subject of additional fee. Freight charges must be prepaid by Buyer or AWA Electronics on AWA Electronics sole discretion (as shall be specified by AWA Electronics on RMA form).?Please note that if returned product was damaged due to improper packaging, handling or usage C no refund shall be issued.
COD returns cannot be accepted.
Products not eligible for return shall be returned to Buyer at his expense.? A restocking fee may apply. Product returned may be subject to a restocking fee of no less than 20% of the order amount. It is AWA Electronics sole discretion to determine whether returned product is eligible for restocking fee and Buyer acknowledges the acceptance of such fee. No returns allowed on product specified by AWA
Electronics as NCNR (see p.1 Orders). Refused packages are subject to restocking fee of 20%, no exceptions. AWA Electronics reserves the right to change the restocking fee if AWA Electronics direct loss from canceled or returned order is higher than 20% from the order amount.
All products returned must have RMA form enclosed with AWA Electronics authorization (must have a signature of authorized representative).
All the RMA product are subject to AWA Electronicss’ inspection and acceptance. All RMA requests will be processed within 3 business days upon receiving the product, unless if product requires additional testing.

- AWA Electronicss’ LIMITED WARRANTY.
AWA ELECTRONICS MAKES NO WARRANTY, EITHER EXPRESSED OR IMPLIED WITH RESPECT TO ANY PRODUCT SUPPLIED, AND SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING WARRANTIES FOR MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR ANY PARTICULAR PURPOSE OR USE. AWA Electronicss’ SOLE OBLIGATION AND LIABILITY FOR PRODUCT DEFECTS SHALL BE (AT AWA Electronicss’ OPTION) TO REPLACE SUCH DEFECTIVE PRODUCT OR REFUND TO CUSTOMER THE AMOUNT PAID BY CUSTOMER THEREFORE. IN NO EVENT SHALL AWA Electronicss’ LIABILITY EXCEED THE BUYER’S PURCHASE PRICE. The foregoing remedy shall be subject to buyer’s written notification of defect within 45 days from the date of purchase and product, however, must be returned to AWA Electronics, along with purchase documents (invoice, purchase order) within 60 days from the date of delivery.
IN NO EVENT SHALL AWA ELECTRONICS BE LIABLE TO THE BUYER OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION LOST OF PROFITS, SAVINGS, DATA, INJURY OR REPUTATION, OR LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION COSTS, REPROCUREMENT, REMOVAL/REINSTALLATION COSTS ) ARISING OUT OF OR RELATING TO ANY PRODUCT OR SERVICE PROVIDED OR TO BE PROVIDED BY AWA ELECTRONICS, OR THE USE OR INABILITY TO USE THE SAME, EVEN IF AWA ELECTRONICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- TECHNICAL ASSISTANCE AND SUPPORT.
AWA Electronics does not provide any technical assistance or support. AWA Electronics does not guarantee that any information or recommendation provided is accurate, correct or complete, and AWA Electronics shall have no responsibility or liability whatsoever in connection with any information or recommendation provided, or the Buyer’s reliance on such information or recommendation. It is Buyers sole responsibility to analyze and determine the appropriateness of any information or recommendation provided by AWA Electronics and its personnel, and any reliance on such information or recommendation is at the Buyer’s sole risk and discretion. Accordingly, the customer shall release and hold AWA Electronics harmless from and against any and all loss, liability, and damage incurred by the Buyer or any third party as a result of any information or recommendation provided to the Buyer or the Buyers reliance on such information or recommendation. - SPECIFIC USE OF PRODUCT.
Products sold by AWAElectronics are not authorized for use as critical components in life support devices or systems, nuclear or other applications. Please, do not use product purchased as critical components in such systems and applications. By critical component meaning any component of a life support device or system, nuclear or other applications whose failure to perform can be reasonably expected to cause the failure of the life support device or system, or to affect its safety or effectiveness, or cause catastrophic property damage. AWA Electronics accepts no liability whatsoever in contract, tort or otherwise whether or not resulting from our or our employees’ negligence or failure to detect an improper purchase, it is solely Buyers responsibility for such purchase. - EXPORT REGULATIONS.
Buyer agrees to comply with export control laws, regulations and orders of the United States for the product sale or resale and any related technology and/or documentation and acknowledges that it shall not directly or indirectly export any Products to any country or user to which such export or transmission is restricted or prohibited.
